Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you and Donum, Inc. (“Donum,” “we,” “us”) governing your use of the Donum website, applications, and related services (the “Service”). By creating an account, contributing to a registry, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Acceptance of these terms

You accept these Terms by checking the box during account creation, by contributing to a registry, or by otherwise using the Service. You also agree to our Privacy Policy and Refund Policy, which are incorporated into these Terms by reference. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Who can use Donum

You must be at least 18 years old and a resident of the United States to create an account. The Service is currently offered only to US-based couples with US bank accounts eligible for Stripe Connect. We do not knowingly permit accounts from minors or from jurisdictions where the Service is not offered. You may not use the Service if you are barred from doing so under applicable law (including U.S. sanctions and export-control regulations).

3. Accounts

You are responsible for safeguarding your account credentials and for any activity under your account. Notify us immediately at hello@trydonum.com if you suspect unauthorized access. We may require you to verify your email address before granting full access to the Service.

4. What Donum provides

Donum provides software that lets couples (“Couples”) build a free wedding registry combining items from any retailer, group-funded cash gifts, and direct cash contributions. The Service does not sell merchandise. Items linked through Donum are sold by third-party retailers under the retailer’s own terms.

5. Cash gifts: you are the merchant

Cash contributions are processed by Stripe, Inc. (“Stripe”) through Stripe Connect Express. By accepting cash contributions through Donum, you are the merchant of record for those contributions and you separately agree to the Stripe Connected Account Agreement and the Stripe Services Agreement. Donum does not hold, custody, or transmit funds. Money flows from each guest’s payment method directly to your connected Stripe account, less Stripe’s processing fees, and is paid out to your linked bank account on Stripe’s standard payout schedule. You are solely responsible for any taxes (including reporting and withholding) on funds you receive.

6. Guests and contributions

Guests do not need a Donum account to view a registry or contribute. By contributing, a guest agrees to these Terms and to Stripe’s terms. Contributions are gifts to the Couple, not to Donum. Donum is not a party to the gift, does not provide refunds for gifts, and does not act as escrow.

7. Affiliate links and disclosure

Donum participates in affiliate programs operated by retailers and affiliate networks (including but not limited to Amazon Associates, Impact, and Skimlinks). When a guest clicks a link to an external retailer through the Service, Donum may receive a commission if a qualifying purchase is made, at no additional cost to the guest. This commission is what allows us to keep the Service free and to take no cut of cash gifts. We disclose this relationship in compliance with FTC guidance under 16 CFR Part 255.

8. Your content

You retain ownership of the names, photos, item descriptions, notes, and other content you add to the Service (“Your Content”). You grant Donum a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display Your Content solely to operate, maintain, and improve the Service. You represent that you have all rights necessary to grant this license and that Your Content does not infringe any third-party rights or violate any law.

You may delete Your Content at any time through your account settings. Deleted content may persist in backups for up to 30 days.

9. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or to facilitate fraud, money laundering, or evasion of taxes or sanctions.
• Solicit cash contributions for any purpose unrelated to a wedding or wedding-related event.
• Misrepresent your identity, your wedding, or your relationship to the registry.
• Upload content that is defamatory, obscene, infringing, or that contains malware.
• Attempt to circumvent affiliate attribution, rate limits, fraud controls, or other technical safeguards.
• Scrape, crawl, or bulk-download the Service or its data, except for your own registry data via the export feature.
• Resell, sublicense, or commercialize the Service or any data accessed through it.

10. Our fees and third-party fees

Donum charges Couples no fee for use of the Service. Cash contributions are subject to Stripe’s standard processing fees, which are deducted before funds reach your connected account; Donum does not receive any portion of those fees. Guests may optionally choose to cover Stripe’s fee at checkout. Donum may earn affiliate commissions as described in Section 7.

11. Refunds, chargebacks, disputes

Refund and dispute handling for cash contributions is governed by our Refund Policy and by Stripe’s rules. Because you are the merchant of record, you are responsible for resolving guest disputes and for any chargebacks, refunds, or fines assessed by card networks. Donum may assist by surfacing dispute notifications and by providing supporting transaction records.

12. Donum’s intellectual property

The Service, including the Donum name, logo, design, code, and editorial content, is owned by Donum and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. We reserve all rights not expressly granted.

13. Privacy

Our handling of personal information is described in our Privacy Policy. By using the Service you consent to the collection, use, and sharing of information as described there.

14. Third-party services

The Service integrates with third-party services including Stripe (payments), Supabase (hosting and authentication), Resend (transactional email), and affiliate networks. Your use of those services is governed by their own terms and privacy policies. We are not responsible for the acts, omissions, or content of third parties.

15. Suspension and termination

You may delete your account at any time. We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, if Stripe or a card network requires us to do so, or if continued service would expose Donum or others to legal or financial risk. On termination, your right to use the Service ends. Sections 5, 7, 8, 11, 12, 16, 17, 18, 19, 20, 22, and 23 survive termination.

16. Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE MAKE NO WARRANTY REGARDING THE ACTS OR OMISSIONS OF GUESTS, RETAILERS, AFFILIATE NETWORKS, OR PAYMENT PROCESSORS.

17. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL DONUM, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF DONUM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

DONUM’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (a) ONE HUNDRED U.S. DOLLARS (US $100) OR (b) THE TOTAL AMOUNT OF FEES YOU PAID TO DONUM IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, IN WHICH CASE THE LIMITATIONS HERE APPLY TO THE FULLEST EXTENT PERMITTED.

18. Indemnification

You will defend, indemnify, and hold harmless Donum, its affiliates, and their respective officers, employees, and agents from any third-party claim, loss, liability, or expense (including reasonable attorneys’ fees) arising out of (a) your use of the Service in violation of these Terms or law, (b) Your Content, (c) your role as merchant of record for contributions, or (d) chargebacks, refunds, or disputes initiated by your guests.

19. Disputes and arbitration

Please read this section carefully.Except for claims that may be brought in small-claims court and except for actions to enforce intellectual-property rights, any dispute, claim, or controversy between you and Donum arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by JAMS under its applicable consumer rules, before a single arbitrator, in the state and county where you reside. The arbitrator’s decision will be final and binding. The Federal Arbitration Act governs the interpretation and enforcement of this section.

Class-action waiver. You and Donum each waive the right to participate in a class action, class arbitration, or representative action.

30-day opt-out. You may opt out of this arbitration provision by sending written notice to hello@trydonum.com within 30 days of first accepting these Terms. Your notice must include your name, account email, and a clear statement that you wish to opt out.

20. Governing law and venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Subject to Section 19, any action permitted to be brought in court will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

21. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email to the address on your account) before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
